1. Agreement to Terms

By accessing or using FFL Overwatch ("the Service"), operated by RED Team Depot, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and the Company. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those changes.

2. Description of Service

FFL Overwatch is a business operations platform designed for Federal Firearms License (FFL) holders. The Service provides tools for accounts payable automation, inventory management, email marketing, AI-powered assistance, and business intelligence.

FFL Overwatch is NOT compliance software, legal advice, tax advice, or a substitute for professional consultation. The Service is a productivity tool that assists with operational workflows. You remain solely responsible for all regulatory compliance, including ATF bound book accuracy, Form 4473 completion, and all other federal, state, and local requirements.

3. Account Registration & Eligibility

To use the Service, you must: (a) be at least 18 years of age; (b) hold a valid Federal Firearms License or be an authorized employee of an FFL holder; (c) provide accurate, complete registration information; (d) maintain the security of your account credentials.

You are responsible for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Subscription & Billing

FFL Overwatch is offered as a subscription service with monthly or annual billing through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Plan changes take effect at the next billing cycle. Upgrades are prorated for the remaining billing period. Downgrades take effect at the start of the next billing period.

Cancellation can be initiated at any time through your account settings. Your access continues through the end of the current billing period.

Refunds are evaluated on a case-by-case basis. Requests must be submitted within 30 days of charge to [email protected].

5. Free Trial

New accounts receive a 30-day free trial with full access to all features in their selected plan. A valid payment method is required to start a trial. At the end of the trial period, billing begins automatically on your selected plan unless you cancel before the trial expires.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service's infrastructure; (d) reverse-engineer, decompile, or disassemble the Service; (e) share account credentials with unauthorized parties; (f) use the Service to process data for non-FFL-related businesses without prior written consent.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, depending on the severity of the violation.

7. Data Ownership

You retain full ownership of all data you upload, input, or generate through the Service ("Customer Data"). We claim no ownership rights over your Customer Data.

You grant us a limited, non-exclusive license to process, store, and display your Customer Data solely for the purpose of providing the Service. This license terminates when you delete your data or close your account.

8. Data Processing

We process your data exclusively to provide and improve the Service. We do not sell, rent, or lease your data to third parties. Data processing activities include: storage on encrypted servers, AI-powered analysis for feature functionality, aggregated and anonymized analytics for service improvement.

9. AI Features Disclaimer

FFL Overwatch incorporates artificial intelligence features including data extraction, email drafting, and operational recommendations. All AI-generated outputs are suggestions that must be reviewed by a qualified human before any action is taken.

AI outputs may contain errors, omissions, or inaccuracies. You are solely responsible for verifying the accuracy of any AI-generated content before relying on it, particularly for compliance-related activities. See our AI & Compliance Disclaimers for full details.

10. Compliance Disclaimer

FFL Overwatch assists with operational workflows but does not guarantee regulatory compliance. You are solely responsible for ensuring your business operations comply with all applicable federal, state, and local laws, including but not limited to ATF regulations (27 CFR Parts 478 and 479), state firearms laws, tax obligations, and employment regulations. We strongly recommend consulting with qualified legal and compliance professionals.

11. Third-Party Integrations

The Service integrates with third-party platforms including Fastbound, distributor portals, email providers, payment processors, and AI services. These integrations are provided "as-is." We are not responsible for the availability, accuracy, or performance of third-party services. Changes to third-party APIs or terms may affect Service functionality. You must comply with all applicable third-party terms of service when using integrations.

12. Intellectual Property

The Service, including its source code, design, features, documentation, and branding, is the intellectual property of RED Team Depot, LLC and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-transferable license to use the Service. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless RED Team Depot, LLC and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) your violation of any third-party rights; (e) any data or content you submit to the Service.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Granville County, North Carolina.

You agree to waive any right to a jury trial or participation in a class-action lawsuit. Either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or data security.

16. Termination

Either party may terminate the subscription at any time. Upon termination, you will have 30 days to export your data. After the 30-day export period, we will delete your Customer Data from our systems, except where retention is required by law.

We may immediately terminate or suspend your account for material violations of these Terms, illegal activity, or non-payment. In such cases, the 30-day export period may be shortened or waived at our discretion.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice via email or in-app notification. Your continued use of the Service after the effective date of changes constitutes acceptance.
